§ 4 Creation and Maintenance of the Account; Newsletter

A change of the Seller’s name and changes resulting from changes in law which do not affect the
nature, manner or quality of performance of the Services shall not constitute an amendment to the
agreement.

Registration of an Account on the Platform is free of charge and consists in completing the
registration form.

During the registration process, the following must be provided: first name, surname, e-mail address
and a password enabling login to the Account.

The Account may not be transferred to another person.

After the registration form is completed, a message containing an Account activation link will be
sent to the e-mail address provided during Registration. The agreement for the provision of the
Account maintenance service is concluded upon clicking the activation link.

The Account maintenance agreement is concluded for an indefinite period.

The Customer may discontinue use of the Account maintenance service at any time by sending an
e-mail to info@shopinbit.com. Shopinbit shall delete the Customer’s Account within 14 days of
receipt of the message, which shall be equivalent to termination of the Account maintenance
agreement.

Shopinbit may terminate the Account maintenance agreement if the Customer breaches generally
applicable law or the provisions of the Terms and Conditions. Shopinbit may also delete the
Accounts of inactive Customers, thereby terminating the Account maintenance agreement.

Shopinbit may close an Account after sending the relevant Customer a warning of possible Account
closure at least 72 hours in advance to the e-mail address provided during the registration process.

From the moment the Account is created and the Terms and Conditions are accepted, the Customer

The Platform enables use of the “Newsletter” service, consisting in the free electronic delivery to
the Customer of commercial and promotional information. The Customer starts using the service

relevant box. The Customer may unsubscribe from the service at any time.
§ 5 Conclusion of the Agreement

The Customer may conclude a Sales Agreement with Shopinbit via the Platform 24 hours a day,
seven days a week; Orders are processed on business days.

In order to conclude a Sales Agreement and place an Order, the Customer:
a. reviews the description of the Goods or Service and its price, and then clicks the “add to cart”
button;
b. confirms the Goods in the cart and selects the payment method and the country to which
delivery is to be made;
c. provides the contact and address details required to perform the Sales Agreement or logs in to
their Account on the Platform;
d. selects the payment method;
e. confirms conclusion of the Sales Agreement by selecting the “Order with obligation to pay”
button;
f. should make payment within the specified time limit, no later than 7 days from receipt of the e-
mail confirming placement of the Order.

The contact and address details required to perform delivery of the Order are: first name and
surname, delivery address, city, postal code, telephone number, e-mail address and, in the case of
entrepreneurs or entities other than natural persons, also the details necessary to issue an invoice,
i.e. NIP (EU VAT number), business name and registered office.

The Customer’s obligations arising from the Sales Agreement for Goods remain in force until the
Customer pays the full price of the Goods and delivery.

If payment is not made within 7 days of receipt of the e-mail confirming placement of the Order, the
Customer will be informed by e-mail or telephone of the need to make payment and will be given
an additional time limit for performance. Failure to make payment within the additional time limit will
result in cancellation of the Order, of which the Customer will be informed by e-mail.

The information referred to in Article 12(1) of the Polish Act of 30 May 2014 on Consumer Rights
will be sent to the Customer at the e-mail address used to place the Order, in a message confirming
placement and the contents of the Order.

Shopinbit has the right to cancel an Order placed by a Customer who is not a Consumer (i.e. to
withdraw from the Sales Agreement within the meaning of Article 395 of the Polish Civil Code) within
7 days of the Order being placed on the Platform. Withdrawal from the Sales Agreement in such a
case may occur without stating a reason, in particular where the Order indicates that the Goods are
being purchased for further resale or the Customer gives rise to a reasonable suspicion that the
funds used to purchase the Goods were obtained unlawfully. Such withdrawal shall not give rise to
any claims against the Seller on the part of a Customer who is not a Consumer.

The provisions of this section concerning payment for specific Goods or Services do not apply to
payments made into the Deposit. The rules governing such payments and use of the Deposit are
set out in § 5a of the Terms and Conditions.
§ 5a Deposit

Shopinbit may allow the Customer to use the Deposit only after prior arrangement with Shopinbit.
The amount of the Deposit, the method of making the payment and other conditions of funding it
are agreed each time between the Customer and Shopinbit.

At the time a payment is made into the Deposit, its value is not assigned to any specific Goods,
Service or Order.

The Deposit may be used to settle all or part of the remuneration due to Shopinbit for Goods or
Services selected by the Customer in the future. Shopinbit is obliged to accept the value of the
Deposit as all or part of the remuneration for an Order accepted by Shopinbit.

The Deposit may be used only in settlements with Shopinbit. The Customer may not use the Deposit
to make payments directly to third parties.

Where part of the Deposit is used, its value is reduced accordingly and the unused part remains on
the Customer’s balance and may be used to settle subsequent Goods or Services.

The Customer may make further payments increasing the Deposit, each time after prior
arrangement with Shopinbit. Further payments increase the existing balance and are not assigned
to specific Goods, Services or Orders.

Until a specific Order is agreed and accepted, the Customer may change the intended use of the
Deposit and use its unused value for other Goods or Services.

The Customer may request a refund of the unused part of the Deposit. The refund results in a
corresponding reduction of the Customer’s balance and the refunded value may not subsequently
be used to settle Goods or Services. The unused value of the Deposit shall be refunded within 14
days of Shopinbit receiving the Customer’s request, in a manner agreed with the Customer.
§ 6 Payments

The price of Goods or the provision of a Service is indicated in the description of the Goods or
Service. It is expressed in Euro or another FIAT currency and includes VAT.

Payment of the price for Goods or a Service should be made within the time limit indicated to the
Customer when placing the Order or agreeing the terms of performance of a given Order.

The available payment methods may vary depending on the type of Goods or Service ordered, the
value of the Order, the Customer’s country or other circumstances related to performance of the
Order. Shopinbit reserves the right to limit the availability of selected payment methods, in particular
for security reasons.

The Customer may make payment using one of the payment methods made available by Shopinbit
for a given Order, in particular by bank transfer, PayPal, Lightning Node or, if the Customer has an
available Deposit, by using all or part of the value of the Deposit.

Where the Deposit is selected as the payment method, the Customer’s Deposit balance is reduced
by the value used to pay for the relevant Goods or Service.

If the value of the Deposit used by the Customer is lower than the amount due for the relevant
Goods or Service, the remaining part of the remuneration is payable using another payment method
made available by Shopinbit.

A payment increasing the Deposit does not constitute payment of the price for specific Goods or a
Service. The rules governing payments into and use of the Deposit are set out in § 5a of the Terms
and Conditions.

Shopinbit reserves the right to change the prices of Goods and Services, provided that such change
shall not affect the prices of Goods and Services ordered before the change is introduced.

Payments should be made in Euro, another FIAT currency or one of the cryptocurrencies made
available by Shopinbit for the relevant Order. Shopinbit does not bear the risk associated with
currency conversion, additional fees or rejection of payments made in a currency other than one
made available for the relevant Order.

Where Goods are to be delivered outside the customs territory of the European Union, the Customer
may be required to bear additional costs, in particular customs duties or taxes, in accordance with
the laws of the relevant country.

Shopinbit provides invoices by e-mail.

The date of payment is deemed to be the date on which the funds are credited by Shopinbit or,
where payment is made using the Deposit, the moment at which the Customer’s Deposit balance
is reduced accordingly.

An entrepreneur who is a VAT taxpayer and who, as part of a single transaction exceeding PLN
15,000, purchases at least one of the goods listed in items 59–66 of Annex 15 to the Polish Act of
11 March 2004 on tax on goods and services (Journal of Laws No. 54, item 535, as amended) is
required to apply the special VAT settlement mechanism (the so-called split payment mechanism).
The Customer should contact the Seller in order to carry out the transaction. The list of Goods
available for purchase on the Platform which may trigger the obligation to apply the split payment
mechanism is set out below:

§ 7 Delivery of Goods

Delivery is carried out via an external courier company.

Shopinbit is responsible for the Goods until they are delivered to the Customer.

Shopinbit is responsible for delivering Goods free from defects and in conformity with the
agreement.

The delivery cost is added to the price of the Goods when the Order is confirmed. The Customer
has the right to verify the shipping costs.

Shopinbit encourages the Customer to inspect the Goods received in the presence of a
representative of the courier company, which may facilitate any complaint procedure. This provision
does not in any way limit the Customer’s right to lodge a complaint independently, without a
representative of the courier company.

The Goods should be delivered to the Customer within 30 days from the date on which the full price
of the Goods and shipping is received.

If the Goods are not delivered to the Customer within 30 days of the funds being credited to
Shopinbit’s account, the Customer has the right to withdraw from the agreement or agree a new
delivery date with Shopinbit.

Due to national laws of EU Member States and internal regulations of non-EU countries, restrictions
may apply to the shipment of certain categories of Goods to certain countries. Before making a
purchase, please make sure that shipment of the Goods to your country is possible. Current
information is available under the “Shipping and payments terms” tab.
§ 8 Consumers’ Right of Withdrawal

A Consumer and an Individual Entrepreneur have the right to withdraw from an agreement with
Shopinbit without stating a reason within 14 days of its conclusion. Where the agreement includes
transfer of ownership of an item, the period referred to in the preceding sentence runs from the
moment the item is delivered to the Consumer, another person indicated by the Consumer, or the
Individual Entrepreneur.

In order to withdraw from the agreement, the Consumer or Individual Entrepreneur should submit
an appropriate declaration to Shopinbit. For this purpose, the Consumer may use the following
template declaration: “Being aware of the consequences of withdrawal from the agreement, I hereby
declare that I withdraw from the agreement with Shopinbit EU sp. z o.o. concluded on [date]”,
although use of the template declaration is not mandatory.

Within 14 days of receiving information on withdrawal from the agreement, the Seller is obliged to
refund the full price of the Goods together with the cost of delivery of the Goods to the Customer
(except for additional costs resulting from the Customer’s choice of a delivery method other than
the least expensive method offered on the Platform).

The Customer bears the cost of returning the Goods to the Seller. In the case of items which, due
to their nature, cannot be returned by post, the Consumer should contact Shopinbit in order to
determine the cost of returning the Goods.

The Seller shall make the refund using the same means of payment as used by the Consumer or
another method agreed by the parties, provided that this does not involve any additional costs for
the Consumer.
a. Where payment was made using cryptocurrency, the refund shall be made in the same
cryptocurrency in which the payment was made or, with the Consumer’s consent, in the form of
selected Goods.

The Consumer is liable for any diminished value of the Goods resulting from use beyond what is
necessary to establish the nature, characteristics and functioning of the Goods.

In the event of withdrawal from the agreement by the Consumer, the agreement shall be deemed
not to have been concluded.

If the Consumer or Individual Entrepreneur submitted a declaration of withdrawal from the Sales
Agreement before the Seller commenced performance of the Order, the Agreement shall cease to
be binding.

The right of withdrawal does not apply to Consumers in the cases specified in detail in Article 38(1)
of the Polish Act of 30 May 2014 on Consumer Rights, in particular:
a. where the subject matter of the performance is Goods liable to deteriorate rapidly or with a short
shelf life;
b. where the subject matter of the performance is Goods delivered in sealed packaging which
cannot be returned after opening for reasons of health protection or hygiene, if the packaging
has been opened after delivery;
c. where the subject matter of the performance is Goods which, after delivery, by their nature
become inseparably combined with other Goods;
d. where the subject matter of the performance is sound or visual recordings or computer software
delivered in sealed packaging, if the packaging has been opened after delivery.
§ 9 Customer Obligations
The Customer is obliged to:
a. use the Platform in accordance with its intended purpose and the Terms and Conditions;
b. comply with generally applicable law when using the Services and the Platform;
c. refrain from providing unlawful content;
d. refrain from actions that could adversely affect Shopinbit or Shopinbit’s IT systems;
e. make timely payments for the Services;
f. provide true and correct personal data for the purpose of placing an Order and using the
Service;
g. use a lawful version of software supported and authorised by the software manufacturer;
h. pay all tax or customs charges related to the purchase of Goods and their shipment outside the
customs territory of the EU, arising under the national laws of countries outside the customs
territory of the European Union.
§ 10 Seller’s Obligations and Liability

Shopinbit is obliged to provide the Services and deliver the Goods in accordance with the agreement
and with due care.

In the event of non-conformity of the Goods with the agreement, the Consumer and the Individual
Entrepreneur shall have the rights set out in Chapter 5A of the Polish Act of 30 May 2014 on
Consumer Rights and, in the event of non-conformity of the Service with the agreement, the rights
set out in Chapter 5B of that Act.

In connection with the Services provided, Shopinbit shall not be liable for:
a. permanent or temporary and unexpected Platform failures caused by a hacking attack,
fortuitous events, natural disasters or force majeure;
b. lost profits of the Customer [this provision shall not apply to an agreement concluded with a
Consumer or an Individual Entrepreneur];
c. consequences of improper use of the Service by the Customer or the Customer’s
representatives.
§ 11 Liability and Complaints

In accordance with applicable law, Shopinbit is liable towards Consumers and Individual
Entrepreneurs for physical or legal defects of Goods purchased on the Platform.

If the Goods are not in conformity with the agreement, the Consumer or Individual Entrepreneur
may demand their repair or replacement. Shopinbit may replace the Goods where the buyer
demands repair, or Shopinbit may repair the Goods where the buyer demands replacement, if
bringing the Goods into conformity with the agreement in the manner chosen by the buyer is
impossible or would require excessive costs for Shopinbit. If both repair and replacement are
impossible or would require excessive costs for Shopinbit, Shopinbit may refuse to bring the Goods
into conformity with the agreement.

If the Goods are not in conformity with the agreement, the Consumer or Individual Entrepreneur
may submit a declaration of a price reduction or withdrawal from the agreement in the cases
specified in Article 43e(1) of the Polish Act of 30 May 2014 on Consumer Rights and in accordance
with the rules set out in that provision.

A complaint concerning non-performance or improper performance of a Service or defects in Goods
shall be submitted by e-mail and should contain:
a. the Customer’s contact details enabling identification and communication;
b. information concerning the Service or Goods to which the complaint relates and the objections
concerning the Service;
c. a description of the circumstances justifying the complaint;
d. the Customer’s claims in connection with the complaint.

The Customer should send the Goods subject to complaint to the Seller, after prior agreement of
the shipping method, to the address provided by Shopinbit. The Customer shall not
bear the costs related to transport of the Goods subject to complaint.

A properly submitted complaint will be considered within 14 days of its receipt by Shopinbit (or within
14 days of receipt of the Goods subject to complaint). Within that time limit, Shopinbit shall respond
to the complaint, indicating whether it accepts the complaint (and how it intends to resolve it) or
rejects the complaint (together with reasons for its position).

If the Seller does not respond to the request of a Consumer or Individual Entrepreneur within 14
days, the request shall be deemed justified.

The Seller reserves the right to extend the period referred to in paragraphs 6 and 7 above by 7 days
where additional circumstances need to be clarified, in particular circumstances related to services
provided to Shopinbit by third parties [this provision shall not apply to an agreement concluded with
a Consumer or an Individual Entrepreneur].

Immediately after considering the complaint, and no later than within 14 days, the Seller undertakes
to replace the product with a new one, repair the defect or refund the costs agreed with the
Customer.

If the complaint is rejected, the Goods shall be returned to the Customer together with the reasons
for rejection and information on a durable medium (e-mail or information sent by traditional post) as
to whether the Seller agrees to out-of-court dispute resolution.
§ 12 Jurisdiction and Dispute Resolution

Matters not regulated by these Terms and Conditions shall be governed by the laws of the Republic
of Poland. In the case of Customers who are Consumers, the choice of law shall not deprive them
of the protection afforded by provisions which cannot be derogated from by agreement under the
law of the country in which the Consumer has their habitual residence.

In the event of a dispute between the Customer and Shopinbit, the parties may seek to resolve it
amicably.

The Consumer may use out-of-court methods of handling complaints and pursuing claims in
accordance with applicable law, in particular by applying to the competent entity authorised to
conduct proceedings for the out-of-court resolution of consumer disputes.

Information concerning out-of-court methods of resolving consumer disputes and a list of entities
authorised to conduct such proceedings are available on the website of the President of the Polish
Office of Competition and Consumer Protection.

If the Consumer’s complaint is not accepted, Shopinbit shall provide the Consumer on a durable
medium with information about the competent entity authorised to conduct out-of-court resolution
of consumer disputes and information as to whether Shopinbit agrees to participate in such
proceedings.

Shopinbit declares that it does not apply a code of good practice within the meaning of the Polish
Act of 23 August 2007 on Counteracting Unfair Market Practices.

For the avoidance of doubt, the place of provision of the Service shall be deemed to be the Republic
of Poland [this provision shall not apply to an agreement concluded with a Consumer].

Disputes with Customers who are neither Consumers nor Individual Entrepreneurs shall be resolved
by the court having territorial jurisdiction over Shopinbit’s registered office.
§ 13 Final Provisions

These Terms and Conditions are effective as of 23.10.2026.

If any provision of the Terms and Conditions proves to be invalid, ineffective, unlawful or
unenforceable in whole or in part, this shall not affect the validity of the remaining provisions.

Shopinbit reserves the right to amend the Terms and Conditions for important reasons [such as,
inter alia, changes in applicable law, changes to the Seller’s business model, changes to the
technical specification of provision of the Service, changes to the terms on which services are
provided to Shopinbit by third parties where such services are necessary for Shopinbit to provide
the Services, or changes in the range of Services offered], after prior notice to the Customer by e-
mail. Amendments to the Terms and Conditions shall enter into force on the date indicated in the
e-mail, but not earlier than 14 days after Customers are informed by e-mail of the new provisions.
